PRIVATE PLACEMENT AND EQUITY

ENTERPRISE INVESTMENT SCHEME
The EIS is designed to assist small ‘early-stage’ trading companies raise finance by offering a range of tax reliefs to investors who purchase new shares in the company. Some of the tax benefits of the EIS include:
30% Income Tax Relief (up to a maximum of £1,000,000, which can be carried back to the previous tax year)
100% Inheritance Tax Relief subject to the investment held for a minimum period
Capital Gains Tax deferral for the life of the investment
Government Loss Relief from potential investment and capital losses
In specific instances, a company may raise capital through the Seed Enterprise Investment Scheme (SEIS), which allows companies to raise equity finance by offering greater tax reliefs to those offered under the EIS to individual investors and is achieved prior to the EIS round of funding, subject to a capped investment requirement of £150,000.
